Notification pursuant to Section 43 (1) WpHG

Dear Sirs,

In its voting rights notification dated March 11, 2025, the JIAOGULAN Familienstiftung, based in Vaduz, Liechtenstein (the “Family Foundation”), informed you pursuant to Section 33 (1) German Securities Trading Act (WpHG), that the conditions precedent of the notarial share purchase agreement dated February 10, 2025 between JIAOGULAN Holding AG, based in Vaduz, Liechtenstein (“Jiaogulan Holding”), and Triathlon Holding GmbH, based in Pyrbaum/Seligenporten (“THG”), have been met. As a result, Jiaogulan Holding now owns 5,897,661 shares (equivalent to a voting rights share of 28.00%) in Voltabox AG, based in Paderborn (“VBX”), since March 10, 2025. The acquisition of voting rights by Jiaogulan Holding is attributed to the Family Foundation pursuant to Section 34 (1) sentence 1 no. 1 WpHG.

Against this background, I hereby provide the following additional information as of today pursuant to Section 43 (1) WpHG:

1. Objectives pursued with the acquisition
1.1 The investment is made as a long-term investment with the aim of generating asset growth.
1.2 There is currently no intention to acquire additional voting rights in VBX within the next twelve months, either through purchase or other means.
1.3 No influence is sought to be exerted on the composition of administrative, management, and supervisory bodies of VBX.
1.4 No significant changes to the capital structure of VBX are currently planned, particularly with regard to the ratio of equity to debt financing and dividend policy.

2. Source of funds used for the acquisition
The funds used by Jiaogulan Holding for the acquisition of voting rights in VBX consist of borrowed capital.
